The PR Closet operates as a dropship marketplace platform that connects customers with curated fashion and lifestyle products from various brand partners and suppliers. We do not manufacture or directly stock the products sold through our platform. Instead, we facilitate transactions between customers and our network of verified suppliers who fulfill orders directly.

3. ELIGIBILITY

You must be at least 18 years old to use our Service. By using our Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

4. ACCOUNT REGISTRATION

Product availability is determined by our supplier partners. We cannot guarantee that any product will be available at the time of your order. If a product becomes unavailable after you place an order, we will notify you and provide a full refund.

6. ORDERS AND PAYMENT

When you place an order, you are making an offer to purchase the product(s). We reserve the right to accept or decline your order for any reason. Order confirmation does not guarantee product availability.

Orders are fulfilled by our supplier partners directly to you. Shipping times, methods, and costs may vary by supplier and product. Estimated delivery times are provided for reference only and are not guaranteed.

7.2 Shipping Responsibility

Once a product is shipped by our supplier partner, risk of loss transfers to you. We are not responsible for packages lost, stolen, or damaged during transit after confirmed delivery by the carrier.

7.3 International Shipping

International shipping availability varies by supplier. Customers are responsible for all customs duties, taxes, import fees, and other charges imposed by their country.

8. RETURNS AND REFUNDS

9. INTELLECTUAL PROPERTY

Product images, descriptions, and other content related to products are provided by our supplier partners. We do not claim ownership of such content but have permission to display it on our platform.

If you submit reviews, comments, or other content to our Service, you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use, modify, and display such content.

You agree not to use our Service:

11.2 Product Warranties

AS A MARKETPLACE PLATFORM, WE DO NOT MANUFACTURE THE PRODUCTS SOLD THROUGH OUR SERVICE. ANY WARRANTIES RELATED TO PRODUCTS ARE PROVIDED BY THE RESPECTIVE MANUFACTURERS OR SUPPLIERS, NOT BY THE PR CLOSET.

11.3 Limitation of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PR CLOSET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless The PR Closet and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Service.

Our Service may contain links to third-party websites or services that are not owned or controlled by The PR Closet. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

18. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of Kansas/United States of America, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Johnson County, Kansas.

19. DISPUTE RESOLUTION

19.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at support@theprcloset.com to seek an informal resolution.

19.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if your claims qualify.

20. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

21. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Shipping & Returns Policy, constitute the entire agreement between you and The PR Closet regarding the use of our Service.

23. FORCE MAJEURE

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

24. SURVIVAL

The provisions of these Terms that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
